1. ACCEPTANCE OF TERMS

By accessing or using Cell-Ed’s website, mobile applications, or services (“Service”), you agree to these Terms. If representing an entity, you confirm authority to bind that entity. If you disagree with these Terms, do not use the Service.

We may modify these Terms at any time. Changes become effective upon posting. Continued use constitutes acceptance of changes. Material changes will be communicated via email, pop-up notice, or similar means.

IMPORTANT NOTICES:

  • ARBITRATION AGREEMENT: Individual claims require binding arbitration, not class actions or jury trials.

  • MEDICAL DISCLAIMER: We are not healthcare providers. Our services don’t replace medical advice. For emergencies, call 911.

2. PRIVACY AND DATA PROTECTION

Our Privacy Policy governs data collection and use. By using the Service, you consent to these practices.

We comply with applicable data protection laws including GDPR, CCPA, CPRA, and VCDPA. Your rights may include:

3. ACCESS AND USE

3.1 Service Description

Cell-Ed provides cross-platform remote learning and communications tools.

3.2 Registration Requirements

  • Accurate information required

  • Users under 13 prohibited from using the Service

  • Users 13-17 need parent/guardian consent

  • Users in EEA/UK under 16 need parental consent

3.3 Account Security

  • You’re responsible for maintaining password confidentiality

  • Multi-factor authentication recommended

  • Notify us immediately of unauthorized access

  • We’re not liable for actions taken using your password

3.4 Service Modifications

We may modify or discontinue services with reasonable notice for material changes.

3.5 Data Storage

We establish limits and practices for data retention. We may delete inactive accounts.

4. USER CONDUCT

You’re responsible for all content you make available. Prohibited activities include:

  • Uploading illegal or harmful content

  • Creating/distributing deepfakes

  • Interfering with service operations

  • Violating laws or regulations

  • Impersonating others

  • Collecting user information without consent

  • Unauthorized commercial use

  • Promoting discrimination

  • Academic dishonesty

  • Circumventing security measures

5. FEES AND PAYMENT

5.1 Payment Terms

  • You authorize recurring charges if subscribing

  • Subscription terms and costs disclosed before purchase

  • You must notify us of payment disputes within 60 days

  • Price changes require 30-day notice

5.2 Payment Processing

CELL-ED DOES NOT PROCESS PAYMENTS. Third-party processors handle transactions subject to their terms (e.g., Stripe).

6. ACCESSIBILITY COMPLIANCE

We strive to comply with WCAG 2.1 Level AA and Section 508 requirements. Report barriers to support@cell-ed.com.

7. EDUCATIONAL SERVICES

7.1 Content Disclaimer

Educational materials are for informational purposes only. No guarantees of accuracy or completeness.

7.2 Academic Integrity

Users must maintain academic integrity, including:

  • Not using the Service for cheating

  • Properly attributing content

  • Following institutional policies

7.3 Learning Analytics

We collect learning data to personalize recommendations and track progress, processed according to our Privacy Policy.

8. MOBILE SERVICES

8.1 Mobile Service Terms

Carrier rates may apply. Not all services work on all devices.

8.2 Communications Consent

Providing your phone number constitutes consent to receive calls, texts, and automated messages. Reply “STOP” to cancel.

8.3 Mobile App License

Limited, non-transferable license to install and use apps for personal use only.

8.4 Third-Party Distribution

Apps from Apple App Store, Google Play Store, or other channels may be subject to additional terms.

9. INTELLECTUAL PROPERTY

9.1 Our Content

Service content is protected by copyright and other laws. Unauthorized use prohibited.

9.2 Your Content

You retain ownership of your content but grant us a perpetual, worldwide license to use, modify, and distribute it.

9.3 Usage Data

We may collect and use anonymized usage data from the Service.

You agree to indemnify Cell-Ed against claims arising from your Service use, content, or Terms violations.

12. DISCLAIMERS

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES. WE DON’T GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE.

13. LIMITATION OF LIABILITY

WE’RE NOT LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY LIMITED TO AMOUNTS PAID IN LAST SIX MONTHS OR $100, WHICHEVER IS GREATER.

14. DISPUTE RESOLUTION

14.1 Individual Arbitration (For Individual Users)

Disputes resolved by binding arbitration under AAA rules, not class actions. Small claims court permitted for eligible claims.

14.2 Pre-Arbitration Process

60-day resolution period following written notice required before arbitration.

14.3 Arbitration Procedures and Fees

AAA rules govern proceedings. We’ll share arbitration fees equally, with accommodations for financial hardship.

14.4 Entity Users

For entity users, disputes governed by California law with arbitration in Santa Clara County.

15. TERMINATION

We may suspend or terminate accounts for violations or inactivity without notice.

16. GENERAL PROVISIONS

  • California law governs these Terms

  • You can’t assign these Terms without our consent

  • Our failure to enforce any right isn’t a waiver

  • If any provision is found invalid, remaining provisions stay in effect

  • These Terms constitute the entire agreement
